TERMS TO SIGN UP AS AN INSTRUCTOR

TERMS AND CONDITONS

When you sign up to be an instructor, you are dealing directly with SabiNow, a company registered in Nigeria.
Signing up on the SabiNow platform as an instructor means you are ready to become an instructor on the SabiNow platform which also means you totally agree to abide by these Instructor Terms ("IT"). The IT covers relevant information and details that relate to the instructor and are also incorporated by reference into our terms of use which guide the use of our services generally.

1.0 Licensing Rights
You, the Instructor, are granting SabiNow all the rights described in the SabiNow Terms and Conditions to display and sometimes market or use as we desire any content you submit, and to sublicense it to users or students for these purposes directly or indirectly, through third parties. This includes the right to either add captions or otherwise tweak content to ensure it is accessible. To ensure we deliver on marketing, promoting, operating the service or ensuring our standards of quality are met, we may record all or any part of your Submitted Content You are granting SabiNow the permission to use your voice, your image, your name, or anything that resembles your image in connection with offering, delivering, marketing, promoting, demonstrating, and selling the SabiNow Services, your Submitted Content, or SabiNow s content, and you are waiving any rights of privacy, publicity, or other rights of a similar nature, to the extent permissible under applicable law. You can at any point in time decide to remove, withdraw or delete any uploaded content unless it negates a prior agreement. Once a content is removed, withdrawn or deleted SabiNow‘s right to sublicense the rights in this section will terminate with respect to new users 60 days after the Submitted Content's removal. Nonetheless, certain rights will survive the removal, withdrawal or deletion as follows: (1) rights given to users or students before the Submitted Content's removal will continue in accordance with the terms of those licenses (including any grants of lifetime access) and (2) SabiNow’s right to use such Submitted Content for marketing purposes shall survive termination.

2.0 Security, Trust & Safety
You agreeing to all terms stated in the SabiNow's policies on security, trust, safety and restricted topics or any other course quality standards or policies prescribed or described by SabiNow anytime they deem it necessary. Ensure you check these policies often to ensure you are up to date with everything. Using this service is at the sole discretion of SabiNow by granting an approval or otherwise, which may be granted or denied. SabiNow reserves the right to remove courses, suspend payouts, and/or ban instructors for any reason at any time, without prior notice, including in cases where:
an instructor is involved in unacceptable behaviour according to SabiNow or brings scandal, ridicule or mockery to the SabiNow brand.
A course or an instructor are in direct or indirect violation of any of the SabiNow policies or terms and conditions.
a course has negatively impacted a user or a student or it is below the SabiNow quality standards
an instructor uses or engages the services of a business partner or third party who violates SabiNow's policies; or
at the sole discretion SabiNow

3.0 Relationship between Users, Students and Instructors
There is no contract between Instructors and users or students. The only information about users to be received by instructors is what is provided on the user or student’s account. You are committing not to use the data you receive for any purpose other than providing your services to the users or students on the SabiNow platform, and that you won't solicit additional personal data or store students' personal data outside the SabiNow platform. You hereby indemnify SabiNow against any claims arising from your use of users or students' personal data.

4.0 Obligations of the Instructor
You have the sole responsibility for any content you post on the SabiNow platform. This is inclusive of lectures, quizzes, coding exercises, submitted work, practice tests, assignments, resources, answers, course landing page content, and announcements.
You take responsibility that:
every information you provide will be accurate and true;
for every content you provide on the SabiNow platform, you have the necessary licenses, rights, consents, permissions, and authority to authorise SabiNow to use your Submitted Content as specified in these Instructors Terms and the Terms and Conditions for use of the SabiNow platform;
your Submitted Content will not infringe or misappropriate any third party's intellectual property rights;
you have the required qualifications, credentials, and expertise (including education, training, knowledge, and skill sets) to teach and offer the services that you offer through your Submitted Content and use of the Services; and
you will respond promptly to users and students and ensure a quality of service that corresponds with the standards of your industry and instruction services in general.

You warrant that you will not:
abuse any of the resources provided by SabiNow, including support services.
engage in any activity that would require SabiNow to obtain licenses from or pay royalties to any third party
post or provide any inappropriate, offensive, racist, hateful, sexist, pornographic, false, misleading, incorrect, infringing, defamatory or libelous content or information;
post or transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, or any other form of solicitation (commercial or otherwise) through the Services or to any user or student;
use the Services for business that are not approved by SabiNow other than providing tutoring, coaching, teaching, and instructional services to students;
Steal or convert another person’s material or resource on the SabiNow platform
impersonate another person or falsify access to another person's account;
Disturb, hinder or prevent other instructors from providing their services or courses; or

5.0 Price Setting
Once you start creating your course, you will see a prompt to select a price or discounted price. On the other hand, you may decide to put up a free course. You will be given the opportunity to participate in certain promotional programs under certain terms and conditions. If you do not opt to participate in any Promotional Programs, we will list your course for at the price specified by you. When a student purchases using a foreign currency, we will convert the relevant Price or Promotional Program price into the student's applicable currency using a system-wide foreign currency conversion rate set by SabiNow and fixed periodically into a table of corresponding price tiers by currency. There will be a fixed table for prices and SabiNow reserves the right to change the rates based on the market dictation at any time. When users or student purchases through a mobile application, the mobile platform provider's pricing matrix will control, and SabiNow will choose the price tier closest to the applicable Price or Promotional Program price. Because mobile platforms impose their own currency conversion rates, conversions for mobile app prices may not match the conversions in the SabiNow fixed table. You will not receive compensation or payment where SabiNow shares your courses for free with our employees, with selected partners, and in situations where we need to restore access accounts who have previously purchased your courses. This serves as an express permission.

6.0 Criteria for becoming an instructor
At SabiNow, you can teach what you are good at and impact as many lives as possible. Most topics are acceptable with the exception of a few that are seen as harmful and offensive to our audience. See list below:\
Content that negates or goes against the laws of the country
Inappropriate or dangerous content
Sexually explicit content
Content relating to making, handling or using weapons
Content promoting harm to people or violence
Racist, Hate speech or discriminatory language
Content enabling, aiding or abetting illegal or unethical behavior
Content that is intentionally misleading, fraudulent or deceptive We reserve the right to add to and modify this list at any time. If you see a topic that you believe should not be on the platform, please email [email protected]SabiNow.com An intending instructor should meet the following requirements:
Expertise in the knowledge area
A passion for teaching and people development
No Plagiarizing Courses to be uploaded should pass our course quality test
HD Video
Good audio quality
Minimum of 5 modules
Total video content should be a minimum of 30 minutes
Free courses must have less than 2 hours of video content.

7.0 Transaction Taxes
If a student or user purchases a product or service in a country that requires SabiNow to remit national, state, or local sales or use taxes, value added taxes (VAT), or other similar transaction taxes under applicable law, SabiNow will collect and remit those Transaction Taxes to the competent tax authorities for those sales. SabiNow reserves the right to increase the sale price where such taxes may be due. For purchases through mobile applications, applicable Transaction Taxes are collected by the mobile platform (such as Apple's App Store or Google Play).

8.0 Promotional Programs
SabiNow will offer optional marketing programs. You are at liberty to participate. These programs can help increase your revenue potential on SabiNow. You are not required to make any up-front payments to participate in these programs, and you can change your participation status at any time except if you are currently involved in an active campaign, those changes will not apply.

9.0 Payments


9.1 Revenue Share
When a student purchases your course, SabiNow will calculate the gross amount of the sale as the amount actually received by SabiNow from the student. From this, we subtract any Transaction Taxes, any mobile platform fees applied to mobile application sales, a 3% administrative and handling fee to calculate the net amount of the sale. If you have not opted into any of SabiNow's optional Promotional Programs, your revenue share will be 50% of the Net Amount less any applicable deductions. If we change this payment rate, we will provide you 30 (thirty days) days notice using prominent means, such as email or by posting a notice through our Services. Where you opt for any of the Promotional Programs, the relevant revenue share may be different and will be contained in our promotional policy.

9.2 Receiving Payments
Depending on the applicable revenue share model, payment will be made within 30 days of the end of the month in which we receive the fee for a course.

9.3 Refunds
You are in agreement that the users and students can be refunded and have the right to receive a refund, as detailed in the terms and conditions of using SabiNow. Instructors will not receive any revenue from transactions for which a refund has been granted under the Terms of Use. If a request for refund comes up after the instructor has been paid, SabiNow reserves the right to either deduct the said amount to be refunded from the next payment due to the instructor or where there are no payments expected by the instructor or the expected sum is not sufficient to cover the refund amounts, we will require the instructor to make direct refunds to the user or student.

10.0 Account Deletion
You can delete your account at any time. We'll use commercially reasonable efforts to make any remaining scheduled payments that are owed to you before deleting your account. You understand that if students have previously enrolled in your courses, your name and that Submitted Content will remain accessible to those students after your account is deleted. If you need help or encounter difficulty deleting your account, you can contact us via our support centre.

11. Updating These Terms
From time to time, we may update these Terms to clarify our practices or to reflect new or different practices (such as when we add new features), and SabiNow reserves the right in its sole discretion to modify and/or make changes to these Terms at any time. If we make any material change, we will notify you using prominent means such as by email notice sent to the email address specified in your account or by posting a notice through our Services. Modifications will become effective on the day they are posted unless stated otherwise. Your continued use of our Services after changes become effective shall mean that you accept those changes. Any revised Terms shall supersede all previous Terms.

12 Translations
Any version of these Terms in a language other than English is provided for convenience and you understand and agree that the English language will control if there is any conflict.

13 Relationship Between Us
You and we agree that no joint venture, partnership, employment, contractor, or agency relationship exists between us.

14 Survival
The following sections shall survive the expiration or termination of these Terms: Sections 1 (License to SabiNow), 3.0 (Relationship between users, students and instructors. ), 9.2 (Receiving Payments), 9.3 (Refunds), 10.0 (Deleting Your Account), and Legal Terms.

15. SEVERANCE
If any provision of this Agreement shall be held illegal or unenforceable, such provision shall be deemed separate and divisible from and shall in no way affect or impair the validity or enforceability of, the remaining provisions.

16. ARBITRATION
16.1 Any disputes, claims and controversies arising out of or relating to this Agreement shall be referred exclusively to and be finally settled by arbitration in accordance with the provisions of the Arbitration and Conciliation Act of the laws of Nigeria.
16.2 Parties agree that in the event of any dispute regarding this Agreement, resort shall be made to arbitration. The arbitration will in all respects be governed by the Arbitration and Conciliation Act 1990 or any subsequent modification thereof. The venue of the arbitral proceedings shall be Lagos State.
16.3 The Parties expressly agree that the inclusion of this Arbitration Clause shall not operate as a bar to a Party from seeking an urgent relief from a court of competent jurisdiction in deserving circumstances.

17. GOVERNING LAW
27.1 This Agreement shall be governed by and construed at all times in accordance with the laws of the Federal Republic of Nigeria.
